By accessing or using this application ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of a clinic, medical practice, or other organization ("Organization"), you represent and warrant that you have the authority to bind that Organization to these Terms.
If you do not agree to these Terms, you may not use the Platform.
2. Description of Service
The Platform provides tools to support physicians and clinics in recording, managing, and analyzing billing-related information. The Platform is not a medical system and does not store or process patient health records.
The Platform is intended solely as a support tool and does not guarantee billing accuracy, reimbursement, or compliance with any regulatory or payer requirements.
3. No Patient Health Information
You agree that you will not input, upload, or store any patient-identifiable information or personal health information (PHI), including but not limited to:
- Patient names
- Health card numbers
- Dates of birth
- Clinical notes or diagnoses
You are solely responsible for ensuring that all data entered complies with applicable laws and regulations.
4. Account Responsibility
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Ensuring that all users associated with your Organization comply with these Terms
5. Data Ownership and License
You retain ownership of all data submitted to the Platform.
By using the Platform, you grant us a non-exclusive, worldwide, royalty-free license to:
- Store and process your data
- Analyze and transform your data
- Create aggregated and de-identified datasets
6. Aggregated and De-Identified Data
We may use, analyze, and share aggregated and de-identified data derived from Platform usage for purposes including:
- Analytics and reporting
- Benchmarking and insights
- Research and product improvement
- Commercial partnerships
Such data will not identify any individual patient and is designed not to identify individual users or organizations.
7. Acceptable Use
You agree not to:
- Use the Platform for unlawful purposes
- Input prohibited data (including PHI)
- Attempt to reverse engineer or extract data from other users
- Interfere with system security or performance
8. Disclaimer of Warranties
The Platform is provided "as is" and "as available."
We make no warranties, express or implied, including:
- Accuracy of outputs
- Fitness for a particular purpose
- Uninterrupted or error-free operation
9. Limitation of Liability
To the fullest extent permitted by law, we are not liable for:
- Billing errors
- Loss of revenue or reimbursement
- Indirect or consequential damages
- Data loss or system interruptions
Your use of the Platform is at your own risk.
10. Termination
We may suspend or terminate access to the Platform at any time for violation of these Terms.
You may stop using the Platform at any time.
11. Modifications
We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of updated Terms.
12. Governing Law
These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein.
